Terms of Service
Effective date: September 16, 2026
These Terms of Service (the “Terms”) govern your access to and use of the Offertown platform at offertown.net (the “Service”), operated by Offer Town Limited, Miltonos 54B, Agios Spyridonas, 3050 Limassol, Cyprus (“Offertown”, “we”, “us”). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of a business that runs a referral program (a “Partner”), the Partner-specific provisions in Section 10 also apply.
1. The Service
Offertown connects people (“Referrers”) with businesses that run referral programs. Referrers share personal referral links; when a referred person (“Friend”) completes a qualifying purchase or action with a Partner, the Referrer earns a reward defined by that Partner’s program. Rewards are paid in euros into an Offertown wallet and can be withdrawn to a bank account or spent as vouchers with participating Partners.
The Partner, and not Offertown, offers and is solely responsible for funding and paying each referral reward. Offertown acts solely as a disclosed intermediary and payment-administration agent for and on behalf of the Partner. Offertown does not purchase, resell or take title to the referral services and does not guarantee payment from its own resources.
The Service is available to Referrers acting as private individuals outside the course of a business or economic activity. Persons registered for VAT, or who would supply referral services in the course of a business, may not register as Referrers. Reward statements issued to Referrers are payment advices and are not invoices.
2. Eligibility and accounts
- You must be at least 18 years old and able to enter into a binding contract to use the Service.
- You are responsible for the accuracy of the information on your account and for keeping your sign-in credentials secure.
- One account per person. Accounts are personal and may not be sold or transferred.
3. Referral program rules
Rewards exist to thank you for genuine recommendations. The following are prohibited and result in forfeiture of pending rewards and may result in account termination:
- Self-referral: referring yourself, your own accounts, or households/payment methods you control in order to collect rewards.
- Spam: distributing referral links through unsolicited bulk email or messages, misleading advertising, or any channel that violates applicable law.
- Misrepresentation: posing as the Partner, promising benefits a program does not offer, or bidding on a Partner’s brand terms in paid search where the program terms forbid it.
- Fraud: fake conversions, stolen payment instruments, automation, or any manipulation of attribution.
Each Partner program may publish additional program terms shown on the program page; those terms apply to participation in that program.
4. Attribution
Referrals are attributed using a referral cookie that is valid for 90 days from the first click on a referral link (see the Cookie Policy), or through referral data submitted to us by the Partner (for example through the Partner’s webshop integration). Attribution is determined by the first referral recorded for a given Friend and Partner; we cannot re-assign attribution after the fact.
5. Rewards
- Reward amounts, eligibility conditions, and any reward for the referred Friend are defined by the Partner’s program at the time of the referral.
- A reward is first recorded as pending. It becomes payable only after the Partner confirms the conversion, any program-specific maturation period has elapsed, and the Partner has successfully funded the reward.
- A reward becomes unconditional, and is credited to the Referrer’s wallet, when the Partner’s hold period for the program has elapsed and the Partner has funded the reward. Before that moment a reward is pending and may be rejected or cancelled without any payment obligation arising.
- If a reward is not paid, the Partner, and not Offertown, is solely legally responsible to you. Offertown’s duty is to administer collection and payout as the Partner’s agent. Offertown is not a surety and does not pay a reward from its own resources if the Partner fails to fund it, becomes insolvent, or Stripe delays, freezes or fails to complete a payment.
- Clawback: if the underlying purchase is refunded, reversed, or charged back, the corresponding reward (or a proportional part of it) is recovered in this order: first from any remaining wallet balance, including later credits; then, if you have already withdrawn, by instructing Stripe to reverse the transfer if Stripe still holds the funds. Offertown does not ask you to send money back from your bank, and does not pay any unrecovered amount from its own resources. See section 11 (No refunds).
- Rewards are not guaranteed: a Partner may reject conversions that violate its program terms or these Terms.
- Once credited to your wallet, a reward is earned and final, subject only to the Clawback provision above. See section 11 (No refunds).
6. Wallet and withdrawals
- All wallet balances are held and paid in euros (EUR).
- Withdrawals are processed via our payment provider, Stripe. Before your first withdrawal you must complete Stripe’s onboarding, which includes identity verification required by law.
- The minimum withdrawal amount is €5.00. Offertown does not charge withdrawal fees; your bank or payment provider may.
- Wallet balances are not deposits and do not earn interest. They represent rewards earned through the Service. Amounts credited to your wallet sit in Offertown’s Stripe platform balance, commingled with Offertown’s commission, and are recorded in Offertown’s ledger. They are not e-money issued by Offertown and not client money held on trust. In an insolvency of Offertown they would be ordinary claims, not ring-fenced funds.
- If a withdrawal cannot be completed (for example, a failed transfer), the amount is returned to your wallet.
- If Stripe delays a payment, freezes funds, or stops providing the service, Offertown is not in breach for the resulting delay and will not advance funds from its own resources. Your claim for an unpaid reward remains against the Partner.
7. Vouchers
- You can convert wallet balance into a voucher redeemable with a participating Partner. The minimum voucher amount is €1.00.
- Vouchers are valid for 90 days from issue and are redeemed in full in a single use.
- If a voucher expires unredeemed, its full value is automatically returned to your wallet. You do not lose the money.
- Vouchers are not transferable and cannot be resold.
8. Acceptable use
You may not interfere with the operation of the Service, attempt to access other users’ data, probe or test the Service’s security without written authorization, or use the Service for any unlawful purpose.
9. Termination
You can close your account at any time; any withdrawable balance will be paid out subject to Section 6. We may suspend or terminate accounts that violate these Terms. Where the violation involves fraud, pending and unmatured rewards are forfeited; withdrawable balances earned legitimately remain payable.
10. Partner terms
If you use Offertown as a Partner:
- You define your program’s reward amounts, conditions, and maturation period, and you are responsible for honoring what your program advertises. You warrant that the program is lawful, that reward claims you publish are not misleading, and that you have the right to run it. You will indemnify Offertown against claims arising from your program, content, fraud, incorrect information or unlawful promotions, except to the extent caused by Offertown’s own fraud or negligence in administering the Service.
- You are solely legally responsible to each Referrer for any reward that is not paid. Offertown administers collection and payout as your agent and does not guarantee payment from its own resources.
- You fund rewards plus Offertown’s commission via the payment method you keep on file with us (processed by Stripe). Charges occur when rewards mature, as described in your program configuration.
- You are responsible for reviewing and approving or rejecting conversions in a timely manner and in good faith.
- For personal data of referred customers that you send to Offertown through our integrations (plugin, widget, or API), you are the controller and Offertown is the processor. For Referrer account, wallet and reporting data, Offertown is the controller. Each party will notify the other without undue delay and in any event within 72 hours of becoming aware of a personal-data breach affecting data the other party controls. - You and Offertown will keep each other’s commercial terms, referrer and customer lists, volumes and Stripe identifiers confidential, except where disclosure is required by law or to professional advisers.
- Voucher redemptions you accept are reimbursed to you through Stripe payouts to your connected account.
11. No refunds
Offertown does not issue voluntary refunds.
- For users: rewards credited to your wallet are earned and final (section 5). Offertown does not issue a voluntary refund of a completed withdrawal. Where section 5 Clawback applies, Offertown will recover the amount from any remaining wallet balance and, if you have already withdrawn, will instruct Stripe to reverse the transfer if Stripe still holds the funds. Offertown does not require you to repay withdrawn funds from your bank.
- For Partners: charges for matured rewards and commission are non-refundable. Offertown does not refund a charge because a referred customer later cancelled, returned a purchase, or became unreachable, except as required by law.
- This does not affect involuntary reversals: if a charge is refunded or disputed through the card networks, or a reward is reversed for fraud or program violations, Offertown will claw back the corresponding wallet credits (section 5, Clawback) and reserves all related rights.
- Automated correction credits are not refunds for the purposes of this section: where a reward is cancelled before it is credited, the corresponding portion of a Partner charge is returned automatically.
12. Disclaimers and liability
The Service is provided “as is”. To the maximum extent permitted by law, Offertown is not liable for indirect or consequential damages, and our total liability arising out of the Service is limited to the greater of €100 or the amounts paid out to you (or paid by you, for Partners) in the 12 months preceding the claim. That cap does not limit Offertown’s duty to pay onward amounts it has actually collected from a Partner as agent for payment to you, nor liability that cannot be limited under applicable law.
Offertown is not in breach for delay or failure caused by events outside its reasonable control, including Stripe or banking outages, cloud or infrastructure failure, cyber incidents, utility or telecommunications failure, and changes in law. Amounts already collected as agent will be paid onward when the payment rail is restored. A Partner’s obligation to fund a matured reward is not excused by such an event.
13. Changes
We may update these Terms. For material changes we will give you at least 14 days’ notice by email or in-product notice before the new Terms take effect. Continued use after the effective date constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of the Republic of Cyprus. Disputes are subject to the exclusive jurisdiction of the courts of the Republic of Cyprus, without prejudice to mandatory consumer protections that apply in your country of residence.
